What is the name of your state (only U.S. law)? MI

2 years ago ownership of my business was transferred to my business partner. Now the business is on the verge of bankruptcy and my former business partner intends to sue me to recover his losses. Does he have any grounds to do this successfully even though the business was legally transferred over to him? Any help would be greatly appreciated.
