What is the name of your state (only U.S. law)? Ca

i just need some info/advice to present to some friends of the family. i've tried to search on my own but its just too confusing for me to understand.

this family(person "A") who owns a restaurant are in the works of getting it leased by an individual(person "B"). "A" does not have a signed agreement with "B" to lease, all verbal from the beginning. i'll give some examples to show how "B" is.1) "A" puts in a dishwasher at "B's" request. once installed "B" asks about a warranty. "A" informs him that as long as dishwasher soap is bought through the company where they purchased the machine there will be a warranty."B" then makes the statement that he might not want to buy soap from that company. 2) "B" wants a new coat of paint for the outside and says he has people that will do it. "A" says fine. "B" says he doesn't want to pay for the paint though, but eventually does.

"A" had renovated for "B" at his request, health department comes in and tells them certain materials cannot be used for specific uses, such as tiles on the floor are wrong and needed to be clay, tiles on counter cannot be used near a steam table. all materials had been pre-approved. "B" now says he cannot pay the rent until the 15th of next month, as well as the opening date has been pushed back because of renovations he has been requesting to get done. its even been pushed farther because of the violations they need to fix since renovating. can "A" just give him a pay or quit notice if he fails to pay on the 1st or is it different for commercial property? "A" has bent backwards for this guy just so he would come in and get the business back up and running.

they're now at a point where they are discussing on bringing more of the family in to run the business...long story short - its a small chinese restaurant, ex-wife and parents were the cooks and ran the place. ex-wife got burned out(9am-10pm shift, 6 days a week) and quit along with parents. she and parents will only come back if another person does the ordering/financial part of the business. if "A" goes this route, what would be the legal way to sever ties with "B" since it is all verbal?

**A: A should take B to C. C=Court. The residential L/T law does not apply.
