This may be a reduntant thread.

I was a small electrical contractor, my partner had the license, and was the RMO. He stole all the tools, materials, computer, office equipment, documents etc...I want to dissolve the corp but there are taxes due to the Franchise Tax Board, for 2007, 2008. I filed a final return 2008.

1. How do I dissolve the corp. There are NO assests. Only credit card debit he ran up.

2. Recently, last week a former client called and said that a job that was completed 2 years ago is not complete, and either wants 5k back or the job done. I do not have any of the documentation. I KNOW that the job was completed. She says she is getting a judgement against the corp.

So will this impact me personally? If I dissolve the corp., does that "pierce the corp. veil" and then she can sue me personally? My ex-partner has disappeared.
