Discrimination, bigotry, blacklisting, or any of the above?

Hello all,

Background:
There is a Chamber of Commerce committee including a group of perhaps 12 people completing an up-coming function.
There is 1 Chamber board member who wishes to join this committee.
This particular board member is widely disliked throughout the town based upon past experiences and a tendancy to threaten lawsuits.
The 12 current committee members are not willing to have the additional member join and will leave the committee if this new board member joins.
The decision not to include this board member is not based upon age, race, gender, emplyment status or any discrimination standard I have ever heard of.
A vote has been set in the Chamber Board of Directors regarding this issue. My position is as a Chamber Board Member required to vote on this issue.

Questions:
Is exclusion in this instance considered discrimination or bigotry?
Provided a no entry vote (which will almost certainly occur) is the chamber liable?
Could this be considered exclusion based upon merit?

The first question must be: What do your by-laws say? How are committee members selected? Do the by-laws cover this? Is ANYONE allowed to be part of a committee, or do they have to be voted on?

If your by-laws do not cover this, you might have a problem.
