I am in Idaho. I am about to sign a modeling contract with a manager that i am having trouble finding information about so i wanted to know more about this contract before i sign it. For example is there any loop holes where i could loose a lot of what i own? Is there any thing you suggest adding to the contract? Should i sign or not sign? and anything else that you think i should know about this.
here is the contract...


The following contract is legally binding regarding all responsible signing parties. By signing this contract, each party agrees to perform the outlined responsibilities for a period of T.B.D., to begin upon signing.


Managing party/parties:

Represented party/parties:

Mrs. HF


Projects will consist of photo shoots, video taped performances, internet media work, etc. as Mrs. Heather Floyd is a performing talent under employ of Mr. J, HF agrees to perform any/all set duties listed above for the duration of this agreement. Both parties agree that this contract for representation is based not beyond T.B.D Any extension of set agreement is upon negotiation by Mr. J and HF only. HF is not permitted to seek additional employment or monetary compensation without consent from Mr. J throughout duration of this contract. All work-related expenses regarding HF will be provided by Mr. J.
HF must provide the agreed compensation percentage to Mr. J within 72 hours of receiving payment. Failure will result in breach of contract and entitle Mr. J to 50% of all earnings, royalties and residual compensation awarded to Mrs. HF for contracted project.
Total Monetary Compensation for each project Mrs. HF participates in for the duration of this contract includes:


5% of Mrs. HF’s total earnings per project will be awarded to Mr. J from Mrs. HF


HF is not required obligated to perform any projects containing nudity. Mrs. HF has agreed that implied nudity is allowed but reserves sole right on any such project. This legally binding contract is valid for a period of 60 days, agreed upon by Mr. J and Mrs. HF. This contract is not longer valid in the presence of a contract breach.

At such time any addendum or breach takes place by Mrs. HF, 50% of all monetary compensation earned during contract duration will be awarded to Mr. J. In addition, if HF is in breach of the contract with future bookings already contracted, Mrs. HF is responsible for 50% of potential earnings from set project All pictures, video, & media documents are equally shared by both Mr. J and Mrs. HF.
Clauses and breach conditions in set agreement:




a. HF, in the event of requested and awarded early release from contract, will forfeit any remaining compensation. However, in the event Mrs. HF requests early release without completed assignments concluded, she will be responsible for 5% of agreed compensation that was scheduled to be awarded to Mr. J for set project. This clause is in place in the event of a breach as well.


b. In such event of a breach on Mrs. HF’s part, she agrees to forfeit her entire salary and accept a buyout of no more than 3% of the agreed contract amount.


c. Mr. J, in the event of performing an early termination without plausible cause, will be required to compensate Mrs. HF’s salary in full for the entire project period. 50% of total amount is due to Mrs. HF at time of termination and the remaining 50% Mr. J will be required to pay over a time period of 6 months.


d. Both parties, upon signing this contract, are in agreement that there has been no signing bonus exchanged, thus Mr. J will NOT be authorized to obtain any monetary gain not explained in the above clauses.
Additional Terms & Conditions





1. Both above parties are in agreement of all statements in Probation Contract.


2. Upon signing of set contract, both parties agree that a permanent “Gag Order”1 is in effect for any and all employment related activities. Such employment related activities are listed in below examples.


a. Client or employee information of any kind.

b. Personal information pertaining to either Mr. J or Mrs. HF

c. Any and all business or personal related materials/documents pertaining to Mr. J, Mrs. HF, or any other parties associated with during set contract.


3. Both parties agree to a mediation of differences, should a breech or early termination occur in set contract, prior to any legal action being pursued. Each party is in agreement to provide the penalized party five (5) business days to comply with set demands. At the end of the 5th day of mediation, should no agreement be in place, the penalized party is subject to any and all legal means to compensate the other.


4. In the event of a breech of contract or early termination, the “Gag Order” WILL REMAIN IN EFFECT.

1 “Gag Order” refers to a binding agreement to hold in confidentiality any and all information as pertains to ALL clients, both business and personal, as well as business and personal information regarding Mr. J. This “Gag Order” will also be upheld by Mr. J, as pertains to HF and any and all clients.
