Hello, my company is a small government funded R&D firm which is privately held by management stockholders and an ESOP plan in which all employees participate. Recently, there has been some discussion of majority shareholders selling their interests to a larger company. As an alternative, we are suggesting that the management who wants to sell out allow the ESOP to purchase their shares over the next few years in a leveraged buyout. This seems as though it will be agreeable to management, but obviously this will be a fairly capital intensive undertaking.

I am looking to find out the typical route a company like mine would take in such a situation. We are roughly a 35 employee firm spanning two states with revenues of approximately $12million annually. Would the best way to do this be through investment bakers, lending institutions, private parties, etc??
