What is the name of your state (only U.S. law)? Actually I currently live in Australia but I guess this applies to countries all around the world because it might have been distributed through the internet but I am interested in whatever advice you can give me please.

TERMS AND CONDITIONS AGREEMENT

All users of this 'code' are subject to this agreement.

The software always remains the private property of the 'developer'(s) of the code.

By universal agreement from every 'developer' only;
-the software maybe leased to other parties.
-other persons may be recognised as a 'developer'.
-the source code may be shared with other persons.
-the terms of this agreement may be changed.

The percentage of intellectual property owned by each developer is determinable by the new 'value' contributed. An impartial, fair and legal outside 3rd party shall decide the fair percentages of intellectual property if and when required by a 'developer'.

Each 'developer' is responsible for protecting the 'code' from diminution in value and are liable when diminution is due to bad faith.

Each 'developer' must ensure that users of this 'code' agree and have access to this agreement.

This agreement is subject to change without notice.

'developers' are not responsible for 'code' which is used illegally by other people or machines.

'user' is a person interacting, in procession or benefiting from the 'code'
'code' is the source code and its derived products and services.
A 'developer' is a human person who has been recognised as a 'developer' by all the previously recognised developers.
'value' is the increase in usefulness and capability.

With that said. In the US I would recommend hiring an attorney to draw-up your TOS.

Laws vary in significant ways from country to country.

I agree with Blue Meanie that you would be well-served by having a legal professional in Australia draft the legal agreement for you. The one you wrote has serious flaws.

Figurative speech is the antithesis of legalese ... but sometimes equally hard to understand. :)
