    Using quotes legally

In general you can use any famous quotes as long as you site your sources, e.g. author. I am not 100% sure about resale, but since you are selling baseball caps and not the actual quote, there shouldn't be a problem unless the quote is trademarked or copyrighted.

    Stolen Corporation HELP

Sorry to hear that. There should be records of withdrawal from the bank. I would take any information proving the original corporation with his involvement, what he did, and take it to a business attorney while suing for damages.

Why do I need a Registered Agent for Incorperating?

You need a registered agent for LLCs as well. I believe it is used for primary contact regarding business operations or issues for federal/state officials.

    selling keychains

Disclaimers are good, but won't be enough. Think about why they have so many warnings on ladders. LLC will "limit [your] liability", but you are still liable if you are sued. I would look into how current key chain owners are running their businesses. Be sure to cover all your bases.

    LLC and tax id number

Starting an LLC protects you in a different way than having an EIN or TIN. EIN/TIN generally prevents your social security number to be disclosed to the wrong people.

    Stolen Camera

For the sake of the friendship, your best bet is to probably negotiate with the friend to split the cost in replacing the camera. Even if losing the friendship is worth it, $300 is not much to pursue in small claim courts; just my $0.02.

Is this company operating a legal business?

Pyramid schemes are illegal in California. I would contact them for your money back. If they refuse, file a Buyer's Complaint with Paypal to start. A couple after-thoughts: 1) Avoid jobs that require you to pay up-front for whatever reasons. 2) If something seems to good to be true, it...

    Subcontractor bonding

Hiring them as 1099s would allow you to exclude them for liability and workers comp.

    Subcontractor's employee suing me

Ah. Still, he was not contracted by you nor was he fired by you. There is no contract between you and him. Good luck.

Medical group is not paying for the services(Medical Transcription) we are providing

Communication is the key. I wouldn't threaten legal action until exhausting all verbal and written efforts to receive payments. If the case does end up in court, at least you have records to show your faith and time spent for resolution. Good luck.

    Was there a contract?

    Is this a verbal contract

Yup. Sorry. How much work did you do for this company?

    LLC is imploding, advice sought.

I agree. However, be aware that 1) Your partner's #1 goal is to dissolve the company 2) most cases won't go to court due to settlement. My recommendation: settle with your partner without attorney$. If he wants out to be solo with Italy, then let him be. However, because you are his partner...

    Model Release

I agree; you can modify the contract to your liking, but it might not be worth your time.

    Subcontractor's employee suing me

LOL. If the guy trying to sue you has no paperwork showing he ever contracted you, then how did he get in contact with you? For that matter, why did you even waste your time speaking to him? At any rate, he's not your responsibility.
