Hey guys, I was wondering if you could look over a modeling contract for me? A modeling management company wants me to be a part of them, and I have to sign this contract to do that. Problem is, while I'm interested, I have no idea what a standard one would look like. Can you possibly tell me if it looks alright or if there are any questionable sections contained within? Thanks!

Services
I____________________ (Model), herby agrees to engage [Company Name] (Manager) as ____________________

exclusive manager, to direct develop and advance my career as a model. I ___________________ (Model) herby warrants that

Model, has not contracted with any other Manager or agent with respect to modeling services, which is the subject

of this agreement. Subject to prior notice [Company Name], (Manager) agrees to use all reasonable efforts to assist, (Model)

in obtainging contracts to perform modeling services for client.

I ____________________(Model) understand that i am not an employee of [Company Name] (Manager), I am (Model) retaining (Manager) to perform services for me. As compensation for Manager's services, Manager shall be compensated a sum of twenty percent (20%) of all gross compensation received in connection with all professional services which (Model) renders during the term of this agreement, which is defined below, or at a date after the term, including services rendered pursuant to any agreements or extensions, renewals or amendments to any agreements entered into during the term. Model is also aware that Manager shall recieve a service charge from some and /or all of the clients who may utilize my (Model) services. Model agrees that this service charge shall be an additional inducement for [Company Name] to act on Model's behalf. Model also agrees to reimburse [Company Name] for travel and lodging and photo sessions used for Model's portfolio. The amount, time and frequency of reimbursement shall be negotiated between both parties on a case by case basis, Model also agrees that agreement can be amended during its (1 year) term.

Term

The term of this agreement shall be One (1) YEAR from the date hereof, ____________________ (Term) and shall be reviewed by, Model and [Company Name] an additional One year option. If [Company Name] ([Company Name]) is not able to get you (Model) paid work After the first 6 months this agreement or any renewal thereof may be terminated at any time by either party upon a thirty (30) days prior written notice to the other party. Such notice may be by personal delivery or by registered certified mail.

Manager, is herby appointed as Model's attorney -in-fact with authority to demand collect and recieve in Model's name, any and all payments

whether by cash, cheque or otherwise, to which Model may become entitled to make, execute and deliver receipts: to endorse, deposit and collect any cheque, note, draft or other instrument for the payment of monies that may be payable to Model's order, and to sign photographic releases and to do and perform any matter or thing whatsoever for and on behalf of Model's in Model's name, all in connection with my services covered by this agreement. The foregoing authority shall be irrevocable during the Term of this agreement and any renewal hereof. Manager is herby authorized to use my name (Model) and likeness to advertise and publicise me (Model) in connection with [Company Name] representation of me (Model).

In consideration of advance payments to be made by [Company Name] (Manager), to Model, I ____________________ (Model) herby assign to [Company Name] (Manager) the proceeds of the professional assignments, from which you [Company Name] (Manager) have the authority to deduct from said proceeds, all monies due and owing to [Company Name] (Manager), that [Company Name] have advanced to me (Model).

Indemnity

I agree to compensate Singagals Enterprises for any claims actions and/or legal costs incurred by [Company Name] in your Manager collection of the proceeds of the professional assignments.
Governing

In the event of a dispute between us Model and Manager, regarding fees, Costs or other aspects of our relationship, the dispute shall be arbitrated privately and confidentially in San Francisco California on an expedited basis, such arbitration shall in all respects be conducted in accordance with the rules of the American Arbitration Association, The prevailing party shall be entitled to reasonable attorney's fees and costs, Model agrees to submit to

California jusisdiction and will make themselves available for arbitration should the need arise.
Model acknowledges that Model has read this Agreement and fully understands its provisions and have had the opportunity to seek and obtain independent counsel regarding the agreement prior to signing it. This Agreement contains the entire agreement between the parties with respect to the subject matter herof and may be modified only by a writing signed by the parties.

This agreement is deemed executed on the date both parties have signed below.

As I understand it, there is no flat fee. What I mean is, that the nature of the work will be as such: Manager (guy who gave me the contract) will get me into casting calls for models and book me for various opportunities to model. Naturally, he only looks for opportunities that will pay. After that, it's on me to go and present my portfolio and go to a viewing. If I get in, they pay me, and he gets 20% of what they pay me, every time.

Prior to that, he helps me prepare my image, streamline it for the market I'm aiming for, and helps me prepare for each casting call. Now, what any of these mean from casting call to casting call - I can't say. I also can't say if they come out of his pocket or mine (if money is required for them).

I hope this is clear. Let me know if it isn't. Perhaps I haven't understood it very well either.

Hey! Can you elaborate on what these two are (what they mean), and why they are unfavorable or bad? I would really appreciate it.

EDIT: Hopefully I'm not being too obtuse. I did google these terms, but I'd really like for it to be put into context (as in, why might I be getting jipped with these?)

And to clarify, this isn't a modeling agency, but modeling management (a phrase they use to describe themselves).
